Jersey Mike’s Is Pitching a Nearly $1.1 Billion IPO. What Does the Sandwich Math Say?

On Monday, July 20, Jersey Mike's began the roadshow for an initial public offering that could put nearly $1.1 billion of stock into the market. The proposed range is $21 to $25 per share, under the planned ticker JMKE. At the top of that range, the fully exchanged share count in the filing implies an equity value near $7.94 billion. That is a calculation from a preliminary filing, not a final market valuation.

Most quick summaries stop there. But a restaurant's growth story ultimately has to pass through a menu board. So we read theJuly 20 prospectus, mapped our U.S. location inventory, and compared five formats of three popular subs. The result is a story about two kinds of value: the recurring economics investors want and the portion economics diners actually experience.

The news

A nearly $1.1 billion offering is not the same as the company raising $1.1 billion

Jersey Mike's is offering 43,478,261 Class A shares. Multiply that by the proposed range and the base offering is worth roughly $913 million to $1.087 billionbefore discounts and expenses. But the filing divides those shares into two very different buckets.

Existing holders are selling 29.70 million shares—68.3% of the base deal—and Jersey Mike's says it will not receive those proceeds. At the $23 midpoint, the company estimates about $301 million in net proceeds from its own shares and plans to use roughly $295 million to repay debt. That does not make the offering good or bad. It does make “Jersey Mike's is raising $1.1 billion” an incomplete description.

The investor story

The pitch is a repeatable store, not a magical sandwich

Nearly all Jersey Mike's stores are franchised. That lets the company grow its royalty stream without paying to build every new counter itself. The prospectus reports a development pipeline of more than 1,600 stores, with more than 90% undertaken by existing franchise owners. That pipeline is an agreement base and management plan—not a guarantee that every store opens.

The diner story

A national chain still has a local price

Menu-bearing locations in our snapshot average $11.76 per listed row. That is not an average customer check or even an average sub: it weights every available item-location row once, including sizes, sides, and desserts. Its value is comparative. It shows where the same broad menu is systematically more or less expensive.

The geographic spread is not just a mix-of-items artifact. On three Regular subs checked separately, Hawaii averaged about 21% to 28% above Arkansas. Those comparisons use just seven Hawaii locations and 18 Arkansas locations, but they point in the same direction as the full menu-row map: “the Jersey Mike's price” is not one national number.

The takeaway

The IPO story and the sandwich story meet at repeatability

Investors are being asked to believe Jersey Mike's can repeat a familiar box thousands more times: small footprint, franchise capital, digital orders, fresh-sliced theater, and a menu with room to move prices by market. Diners are being asked to believe the experience is worth paying more than a bargain sub elsewhere.

The data supports the scale part of that argument. It also shows the consumer tension. A national brand can have a 23% state-to-state spread in average listed menu-row price, and “size up” can improve one kind of value while barely moving another.

The location inventory contains 3,171 records; displayable menu aggregates cover 3,144 locations and 303,920 item-location rows. The 27-location difference reflects serving/display coverage and should not be read as confirmed closures.

State prices are item-row-weighted means, not average checks or a fixed basket. Format comparisons are national aggregate means across roughly 3,100 locations per format, not same-store paired prices. Unknown nutrition is excluded rather than treated as zero.
